Dive Access Terms and Conditions

By using Dive Access, provided by Industry Dive, Inc., via API at (http://app.diveaccess.com/), collectively, the "Service(s)", you agree to adhere to these Terms of Service ("Terms"), along with any and all applicable laws, rules and regulations, and you accept full responsibility for complying with such. If you disagree with any of these Terms, you shall not be permitted to utilize this site. The Data, as defined below, contained within Dive Access is protected by the applicable copyright and trademark laws.
Definitions:
- "Dive Access" refers to the name of the product "Dive Access", a Software as a Service platform (SaaS), that provides users with the ability to license Industry Dive's Data.
- "Data" means any and all information, including but not limited to, articles, market research reports, datasets, and other content, in whatever form (including text, data files, audio, and video) provided by or made available through Dive Access.
- "RAG" means Retrieval Augmented Generation, a method to enhance AI language models.
1. Introduction
RAG
With RAG, a trained Large Language Model (LLM), utilizes a repository of rights-cleared content from Industry Dive to generate outputs by incorporating relevant information.
Industry Dive will grant a license for RAG use. This license includes the following key components of RAG:
Retrieval: Fetches relevant content from external knowledge bases created from your query
Augmentation: Adds the retrieved context to your prompt
Generation: Uses the augmented prompt to generate a response from the AI model
This license permits the use, implementation, and integration of these above components within the scope of the authorized project or application.
2. Other Uses
Any other use, other than those stated above, must be preapproved, in writing, by Industry Dive who may be contacted via diveaccess@industrydive.com.
3. Data Restrictions
Permission to utilize the Data, as provided via the Services, is subject to these proper usage conditions. Unless explicitly permitted herein, you shall not:
- Copy, rent, lease, sell, transfer, assign, sublicense, disassemble, reverse engineer, create derivative works, decompile, modify, adapt, or alter any portion of the Service.
- Utilize the APIs on behalf of or for the benefit of any third party or make such available over a network for use by others.
- Create multiple accounts with the intention of obtaining free Data.
- Employ the Service to replicate copyrighted materials.
- Publicly disclose or otherwise make available any Data obtained from Dive Access.
- Use Dive Access in any manner that directly or indirectly violates any laws, rules and/or regulations.
- Use Dive Access for any commercial purpose (including, but not limited to), developing a software product, training a machine learning or artificial intelligence (AI) system, providing archived or cached data sets containing the Data to another person or entity or in any product or service that competes with products or services offered by Industry Dive.
- Use Dive Access or any Data obtained to provide archived or cached data sets containing Data to another person or entity.
4. Data Usage Guidelines
- Restrictions: You are not permitted to share, redistribute, or publish the Data in any form outside of your organization. This includes public presentations, social media, and any form of external communication.
- Commercial Prohibition: Direct commercial exploitation of the Data, such as reselling, republishing, or distributing the Data as a standalone offering, is strictly prohibited.
- Citation Guidelines: Please ensure that all publications referenced in the generated output are properly cited. Examples of proper citations can be found in our documentation at https://app.diveaccess.com/documentation. If you have any questions or need further clarification, please contact us at diveaccess@industrydive.com.
- Security and Confidentiality: Adequate measures must be implemented to safeguard the Data from unauthorized admittance or use. Data must be stored securely and and should only be available to authorized personnel within your organization.
5. Prohibition on Public Distribution
Data must not be posted on public forums, social media platforms, or any publicly available websites. The use of Data in online courses, public workshops, or open seminars without explicit permission is strictly prohibited.
6. Accuracy of Materials
The Data obtained via Dive Access may contain technical, typographical, or photographic inaccuracies. Industry Dive does not guarantee the accuracy, completeness, or currency of any materials on Dive Access. Industry Dive reserves the right to modify the Data made available via Dive Access without prior notice, though it does not commit to updating the materials.
7. User Responsibilities
- Account Requirements: You may need to create an account to use certain features of Dive Access. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
- Prohibited Activities: You agree not to use Dive Access for any unlawful purpose or in a way that could harm Dive Access or impair anyone else's use of it. Prohibited activities include but are not limited to:
- Violating any laws or regulations.
- Infringing upon the intellectual property rights of others.
- Distributing harmful or malicious software.
- Engaging in unauthorized data collection or scraping.
8. Privacy and Data Protection
- Data Collection: Industry Dive may collect certain personal information from users to provide and improve our services. This may include contact details, usage data, and other relevant information.
- Usage of Data: Collected data is used to provide, maintain, and improve our services, communicate with users, and comply with legal obligations.
- Data Protection Measures: Industry Dive implements appropriate technical and organizational measures to protect user data from unauthorized access, use, or disclosure.
9. License and Intellectual Property
- Grant of License: Subject to these Terms, Industry Dive grants you a limited, non-exclusive, non-transferable, and revocable license to use Dive Access.
- Intellectual Property Rights: All content, trademarks, service marks, logos, and other intellectual property ("Intellectual Property") displayed on Dive Access is owned by or licensed to Industry Dive. You are not permitted to use this Intellectual Property without Industry Dive's prior written consent.
10. Payment
By selecting a paid plan, you agree to pay Dive Access the monthly subscription fees indicated for that Service. Payments will be charged on a pre-pay basis on the day you sign up for a paid plan and will cover the use of that Service for a monthly subscription period as indicated. You represent and warrant that you are authorized or have the permission of the authorized signatory of the credit card or charge card provided to Dive Access, to pay any fees incurred from the use of the Service. You acknowledge and agree that Industry Dive is using a third-party service for payment.
11. Indemnification
You agree to indemnify and hold harmless Industry Dive and its affiliates, and their respective officers, directors, employees, agents, successors, and assigns (each, including Industry Dive, a "Industry Dive Indemnitee"), from and against any and all third party claims, demands, actions, losses, damages, liabilities, penalties, taxes, costs and expenses (including reasonable attorneys' fees, settlement costs, arbitration costs and any other reasonable expenses for investigating or defending any action or threatened action) incurred by any of the Industry Dive Indemnitees arising out of or resulting from (i) any breach of these Terms by you, or (ii) your misuse of the Data.
12. Termination
Industry Dive may terminate or suspend your access to the application at any time, without prior notice or liability, for any reason whatsoever, including without limitation your breach of these Terms.
- Effect of Termination: Upon termination, your right to use Dive Access will immediately cease. If you wish to terminate your account, you may simply discontinue using Dive Access. All content must be removed, including stored data from the API.
13. Account Requirements
Every user must have their own account.
14. Changes to the Terms
- Modification Rights: We reserve the right to modify or replace these Terms at any time. If a revision is material, Industry Dive may provide at least 30 days' notice prior to any new Terms taking effect. What constitutes a material change will be determined at our sole discretion.
- Notification of Changes: Industry Dive may notify users of any changes by posting the new Terms on this page. You are advised to review these Terms periodically for any changes. Your continued use of Dive Access after the changes take effect will signify your acceptance of the new Terms.
